DefinitionsWherever one of the following terms is mentioned in this contract or agreement, it refers to the meaning precisely stated below each term.
"Platform" or "Connect To Invest": The website connectoinvest.com – including subdomains and other social media accounts - is where all transactions are conducted, such as registration from the Business seller and investor, contact business, reviews, and other services provided by the Connect To Invest website
User or "Users": All individuals or institutions utilizing the platform’s services.
Business sellers: Every person, natural or legal, who offers a business for sale - in whole or in part - or proposes an investment plan on the platform by the terms outlined in this agreement.
investor: Every person, natural or legal, who requests to buy full or part of the existing business on the platform
The business or "the project": Any tangible assets (such as a company, factory, school, office, …) or intangible assets (a certain idea, investment plan, …) that the business seller wants to sell or share with an investor.
The deal: A contract is signed between a business seller and an investor regarding the sale of a share of a business or the whole business for a specific consideration The deal may be subject to the civil code, corporate law, or other legal provisions that apply to the performance of the deal in the place where the contract is executed
Marketing Contract: It is the contract concluded between the users and the platform, according to which the platform works to connect the Business seller to the investor to make deals. These terms and conditions are the only terms of the marketing contract
Contact business: A feature that allows an investor to obtain the contact information of the business seller to initiate a deal
Terms and Conditions: A set of rules that regulate the way the digital platform “Connect To Invest” works and explain how to benefit from its services. These rules are published on the platform’s website on the Internet.
Privacy policy: A set of rules that explain how the platform handles users’ data
Who are we?I. Connect To Invest Platform is a digital service platform owned by Connect To Invest (FEZ), a sole proprietorship licensed by Sharjah Research, Technology, and Innovation Park - Free Zones Authority with License No.: SC241058401). (hereinafter referred to as “Connect To Invest or the platform”). It works to connect buyers (investors) and sellers (Business sellers) with unparalleled access to opportunities, providing a thriving business landscape through transparency, trust, and collaboration. The platform simplifies the process, helping sellers and investors discover the best opportunities that align with their objectives.II. The platform provides its services to users through its website, https://connectoinvest.com, but it may also provide its services through social media accounts or smartphone applications.III. The platform provides its services to users in return for a prepaid subscription for a specific period, the terms of which are published periodically on the platform. The paid subscription is non-refundable and is subject to the laws in force in the United Arab Emirates.IV. These terms and conditions and the privacy policy are legally binding, and your use of the platform services is an implicit acceptance of them.V. The platform has the full right and authority to change the terms and conditions and privacy policy at any time in a way that suits business conditions and the development of the platform’s services. The user shall follow up on all changes that may occur to the terms and conditions and privacy policy
Terms of use for Business sellers and investorThe clauses below include the terms and conditions of use (hereinafter referred to as “Terms”) under which you, as a user of the services of the Connect To Invest Marketing Site (hereinafter referred to as the “Platform”, “Site” or “Connect To Invest”), may enable you as Business seller or investor sell and purchase business on the platformPlease read the terms carefully before using the platform or the services available on the platformFirst: the platform1.1 Connect To Invest has the right, in its sole discretion, to discontinue the Platform for reasons including repairs, planned maintenance, updates, etc., and shall not owe you any losses or compensation arising from any discontinuation of the Site or its unavailability for use or preventing you from using the Platform or using any services available on the Platform1.2 Connect To Invest reserves the right to make any changes to the Platform, including any functional features and existing content, or to discontinue in any way the same without notice to you.1.2 Connect To Invest relies on third-party Business sellers (such as network Business sellers, data centers, and telecommunications Business sellers ) to operate the Platform and deliver its content and services. Although Connect To Invest will take all reasonable steps to provide you with a good level of service, you acknowledge and agree that Connect To Invest cannot guarantee that the Platform will operate uninterrupted or error-free at all times. Accordingly,Connect To Invest will not be liable in any way for any losses you may suffer as a result of a delay or failure in the Services or the Platform caused by Business sellers to Connect To InvestRegistrationA-General provisions:2.1 To use the Platform, you shall complete the registration form and create an account2.2 By registering your data with Connect To Invest as a Business seller or investor, you shall agree and acknowledge the following: 2.2.1 You are legally competent to enter into legal agreements on the Platform.2.2.2 You are at least 18 years old2.2.3 The law in force and applicable to you in your location does not prevent you from entering into a contract under which you agree to the terms of use described here regarding the platform and contracting to sell or buy businesses2.3 By registering your data and creating your account, you agree to the verification and security procedures carried out by Connect To Invest in the context of the information you have provided to us online2.4 You guarantee the accuracy of the information you provided to Connect To Invest and that you will notify us if any change occurs.2.5 By subscribing and registering an account, you agree to the Terms and Conditions and Privacy Policy2.6 You will maintain the confidentiality of your registration data and keep it safe, and Connect To Invest reserves the right to immediately suspend your account or not make the platform available to you without prejudice to any of our other rights, if Connect To Invest has reasons indicating your violation of any provisions mentioned here.2.7 Notwithstanding the above, Connect To Invest shall have the right to:2.7.1 Approve or reject your registration for any reason and;2.7.2 Suspend your account and/or refuse to make the Services and/or the Platform available to you (in whole or in part) if you violate any of the provisions below.B- Provisions for registering as an investor:2.8 Following your registration as an investor, and subject to these Terms and Conditions, Connect To Invest shall provide you with services for reviewing and comparing different businesses offered for sale or sharing. You are an investor if you register as an investor and request the contact information of the business seller to initiate a deal 2.9 “investor” services include the following:-2.9.1 Create an account on the platform.2.9.2 Browse the projects submitted by Business sellers and discover ways to contact them and make the appropriate deals2.9.3 Request the contact information of the business seller on the platform to initiate a deal if desired.2.9.4 Access to other features and benefits within the investor patch that Connect To Invest makes available to its Users from time to timeC- Provisions for registering as a “Business seller”:2.10 After registering as a Business seller, and subject to these Terms and Conditions, Connect To Invest shall provide you with Business seller-specific services. You are a Business seller if you offer a business for sale - in whole or in part after opening a Business seller account on the platform2.11 the Business seller’s services include the following:-2.11.1 Create an account on the platform2.11.2 The platform acts as a marketer to the Business seller’s deals to the investor under the services provided by and clauses contained herein2.12 Access to other features and benefits within the Business seller patch that Connect To Invest provides to the Business seller from time to time.

The marketing contract.
5.1 The marketing contract begins as soon as the investor uses the platform’s services to display the most suitable business opportunities
5.2 The marketing contract also begins as soon as the Business seller uses the platform to offer a business for sale.
5.3 The marketing contract expires once the contact details of the project seller are presented to the investor
5.4 The investor shall have the sole responsibility to choose the appropriate business opportunities and make a deal if desired.
The deal Agreement Both the business seller and the investor shall abide by the following provisions before concluding the deal:-4.1 The rules and regulations governing the deal shall be respected and abided according to the type of project activity, its location, and the governing framework.4.2 Consulting specialists from lawyers, accountants, or any other discipline required by the nature of the deal.4.3 The investor shall Perform - solely and without any help or responsibility from the platform - the due diligence in verifying the integrity of all data and documents related to the project subject to the deal.
Intellectual property rights
7.1 Connect To Invest owns all intellectual property rights related to the platform and any other applications or software running on or through the platform or application.
7.2 You are expressly prohibited from:
7.2.1 reproduce, copy, edit, transmit, upload, or incorporate into any other material, any of the App; And
7.2.2 Remove, modify, alter, or otherwise use any registered or unregistered marks/logos/designs owned by Connect To Invest or its licensors, and do anything that may appear to take unfair advantage of Connect To Invest reputation and goodwill or that could be considered a violation of any of the Intellectual property rights owned and/or licensed to Connect To Invest.
7.2.3 Provided that Connect To Invest is not aware of any infringement of any third-party intellectual property rights at the time you use such rights on the Platform, Connect To Invest shall not be liable in any way to you or to any third party for any infringement of such rights until notice you or Connect To Invest later.
Limited Liability.
8.1 Both the Business seller and the investor shall recognize that the Connect To Invest platform is a digital marketing platform that shall not interfere with the core of the contractual relationship “The deal Agreement” between the investor and the Business seller and that any decision regarding creating, implementing, rescinding or terminating the agreement or resolute the conflicts that may arise shall be solely the decision of the two contracting parties without any interference from the Platform
8.2 The platform shall not bear any liability for any amounts owed to the Business seller if the investor fails to perform his duties to the Business seller
8.3 The platform shall not guarantee in any way the information or documents’ validity and accuracy provided by the Business seller.
8.4 The platform shall not guarantee in any way any compensation nor consequences resulting from the Business seller or investor’s termination of the deal agreement before or during its implementation
8.5 The platform considers itself a “third party” in the legal and contractual relationship that arises or has arisen between the Business seller and the investor.
8.6 The platform shall not bear any civil or criminal liability for any legal or illegal acts committed by the Business seller or investor in connection with their contractual relationship
8.7 Both the Business seller and the investor work to resolve their disputes through negotiation and reach a solution that satisfies both of them. If they fail, the aggrieved party resorts to the means stipulated in Clause Ninth.
Conflict resolution
9.1 In the event of any dispute arising between the Business seller and the investor, it will be resolved through negotiation between them, or the aggrieved party shall resort to the following means:-
9.2 Resorting to a mediator who can bring the viewpoints of the two disputing parties closer together
9.3 Resolving the dispute by the laws and regulations in force in the geographical scope of the place where the deal agreement is executed
No waiver.No waiver of any breach of any provision of the Terms and Conditions shall be deemed a waiver or acceptance of any prior, concurrent, or subsequent breach of the same or any other provisions of these Terms and Conditions, and no waiver shall be effective unless in writing and signed from the authorized representative of the platform.
Governing Law, Jurisdiction, and Venue
11.1 Both the Business seller and the investor shall agree that the law applicable to their legal relationship is the law governing the geographical scope of the place of execution of the deal agreement
11.2 Any legal dispute arising regarding these terms and conditions or any dispute that may result from their implementation against the platform or its owner is subject to the law applied in the United Arab Emirates and all actions or proceedings arising out of or relating to these Terms and conditions shall be venued exclusively in Sharjah. However, we retain the right to bring legal proceedings in any jurisdiction where we believe an infringement of this privacy policy is taking place or originating
